Financial close is the culmination of the M&A process: the moment when all conditions to closing have been satisfied or waived, consideration (cash, stock, debt assumption) flows from buyer to seller, and legal ownership of the target company transfers to the acquirer. The closing event is preceded by weeks of legal documentation preparation, regulatory filings, financing arrangement, and third-party consent procurement. On closing day, a precisely choreographed sequence of wire transfers, document signings, filings, and confirmations occurs simultaneously, often across multiple time zones with multiple law firms coordinating in real time. Key closing conditions that must be satisfied before financial close include: receipt of required regulatory approvals (HSR antitrust clearance in the U.S., EU merger control approval, sector-specific regulatory consent), receipt of third-party consents for material contracts with change-of-control provisions, satisfaction of financing conditions (debt committed, term loan and revolver fully funded), accuracy of representations and warranties (no material adverse change since signing), and delivery of all required documentation (board resolutions, officer certificates, legal opinions, lien releases).
